01. THE CLUB
(a) The name of the company is Keswick Golf Club Limited (herein after known as 'the Club').
(b)  The Club is a company limited by Guarantee and having no share capital. TOP

02. AUTHORITIES.
The Club agrees to: -
(a) Abide by the Rules of Golf as laid down by the governing body, The Royal and Ancient Golf Club of St. Andrews.
(b) Abide by the Rules of Amateur Status as laid down by The Royal and Ancient Golf Club of St Andrews.
(c) Comply totally with the regulations and rules of the Standard Scratch System and unified Handicapping Scheme and any amendments thereto together with any conditions imposed in the scheme by the English Golf Union.
(d) Abide by the Rules of the Cumbria Union of Golf Clubs to which the Club is affiliated.
(e) Abide by the Rules of the English Golf Union and the Ladies Golf Union. TOP

03. AIMS AND OBJECTS OF THE CLUB.
To establish, maintain and conduct a Golf and Social Club for the accommodation of Members of the Club and their friends and visitors and to provide a club house and other conveniences and generally to afford to Members and their friends and visitors all the usual privileges, advantages, conveniences and accommodation of such a club. TOP

04. MEMBERSHIP
Members shall be divided into the following categories and entrance fees, subscriptions and green fees applicable shall be determined from time to time by the Committee.
FULL MEMBER means any playing member over 21 years of age not being a Country or Temporary Member.
COUNTRY MEMBER means a playing member over 21 years of age and whose main residence is out with the county of Cumbria.
JUNIOR MEMBER means a Member under 18 years of age.
STUDENT MEMBER means a Member over 18 years of age still in full time education.
18-21 YEAR OLD Means a member who is over 18 and under 21 years of age but not in full time education
SOCIAL MEMBER means a Non Playing Member
HONORARY MEMBER The Committee may appoint honorary members. An Honorary member will enjoy the same privileges as a Full member.
TEMPORARY MEMBER     visitors may become Temporary Members of the Club on payment of the appropriate Temporary Membership (Green Fee).
 
In addition any person attending any official function by invitation of the Committee (either in the nature of Dinners, Dances, Social Evenings or otherwise) organised by the Club shall without payment become Temporary Members.
The Committee shall have the power to define other categories of Membership that from time to time may be deemed to be appropriate

Joining Fee
A joining fee is payable by a new full or country member. Junior, 18-21 year old or student members who graduate to full membership are not subject to the joining fee. Full or Country members who wish to suspend membership for one or more years may retain their association with the club through non-playing (social) membership and will avoid any future joining fee when returning to full membership. 05. NEW MEMBERS
No person shall be admitted as a Member of the Club unless he is elected by a simple majority of the Committee. Every candidate for membership of the Club shall be proposed by one and seconded by another Member of the Club.
No person shall be admitted to Membership of the Club or to any of the privileges of Membership without an interval of at least two days between the nomination or application for Membership and their admission, and particulars of any application for Membership shall be posted on the Club Notice Board for at least two days before an election takes place.
When a candidate has been elected, the Secretary of the Club shall send to him or her, a request for payment of his or her first subscription and entrance fee. Upon payment of his or her first annual subscription and entrance fee an elected candidate shall become a Member of the Club.  If such payment were not made within one month after such request the Committee may in their discretion cancel such election. 06.SUBSCRIPTIONS
Annual Subscriptions shall be decided by the Committee.
The Annual Subscription shall become due on the 1st January in each year and no Member shall be allowed to compete for any Club Prize if their Subscription is not paid by the 28th February. Any Member failing to pay their Subscription by the 28th February or unless paid by Direct Debit shall be notified by the Secretary. The name of the Member who neglects to pay their Subscription by 31st March shall be posted in the Clubhouse and shall ipso facto cease to be a Member of the Club. TOP

07.GUESTS
All members, except Junior and Social may introduce a guest or guests (to a maximum of three at one time), to play the course on payment of 50% of the rate otherwise applicable. A guest may enjoy this discounted green fee for a maximum of six rounds in a club year, otherwise the full green fee applies.

No person shall be introduced as a guest who has been expelled from membership or otherwise excluded from the Club. TOP

08. GENERAL MEETINGS
(a) The Committee shall call an Annual General Meeting at least once every Calendar Year and within no more than 15 months of the previous Annual Meeting.
(b) All General Meetings other than the Annual General Meeting shall be called Extraordinary General Meetings.
(c) Only Full Members shall be entitled to vote at a General Meeting.
(d) A minimum of twenty-one days notice, in writing is required to call an Annual General Meeting.
(d) For an Extraordinary General Meeting the minimum requirement is fourteen days.  The Committee may convene an Extraordinary Meeting at any time, or, a meeting shall be called at the request of at least thirty Full Members.
(e) No business shall be transacted at a General Meeting without the presence of a quorum (fifteen members). TOP

09. OFFICERS AND COMMITTEE
The Committee shall consist of the Officers hereinafter mentioned and not more than 10 full Members of the Club, such Members being referred as the Elected Members.
The Officers of the Club shall consist of the Chairman, Captain, Vice Captain, Lady Captain, Fellmen Captain, Treasurer, and the Chairmen of Membership/Competitions/Handicap, Course/Greens, House and Bar sub committees and the immediate Past-Captain.
No person who is not a Full Member of the Club shall in any circumstances be eligible to hold office as a Member of the Committee.
At any General Meeting a President of the Club may be elected for a period of two years, and shall be entitled to attend all Meetings of the Committee and of the Club and shall be entitled to vote thereat, if a Full Member of the Club.
The Committee shall additionally be empowered to appoint a Vice-President who will also hold office for a period of two years. TOP

10. RETIREMENT & ELECTION OF OFFICERS & COMMITTEE
At an Annual General Meeting the Officers together with one third of the Elected Committee Members (by rotation) shall retire.  Retiring Officers and Elected Members shall be eligible for re-election.
At least 21 days prior to the General Meeting notification of those Officers and Elected Members due to retire shall be posted on the Club Notice Board together with a Nomination Sheet.
Any Full member may propose and any Full Member may second any other Full Member to serve as an Officer or as an Elected (Committee) Member.  Nominations shall close four days prior to the Meeting.
Prior to the Annual General Meeting any officer or Committee Member wishing to resign shall advise the Committee in writing.  The Committee is empowered any casual vacancy, however caused, by co-opting any eligible member to the Committee until the next Annual General Meeting, TOP

11. POWERS & DUTIES OF THE COMMITTEE
The Committee shall form the Directors of the Company.
A minimum of five members of the Committee being present will constitute a quorum
The Committee is responsible for the financial affairs of the Company.
The Committee may exercise all the powers of the Club to borrow money and to mortgage or charge its undertaking and property or any part thereof, and to issue debentures and other securities, whether outright or as security or any debt, liability or obligation of the Club.
The Committee shall have power from time to time to make, alter and repeal all such Byelaws, as they may deem necessary or expedient or convenient for the proper conduct and management of the Club. Such Byelaws shall (inter alia) prescribe regulations as to: -
(a) entrance fees, annual and other subscriptions, locker- rentals and green and other fees;
(b) the admission of temporary and other Members;
(c) the opening and closing of the Course, Club House and premises of the Club;
(d) the permitted hours of the supply of intoxicating liquors;
(e) the admission of visitors;
(f) the rights and privileges of Members as to the use of the premises of the Club. The Committee shall cause proper books of account to be kept with respect to: -
(a) all sums of money received and expended by the Club and the matters in respect of which such receipts and expenditures take place.
(b)  all sales and purchases by the Club;
and
(c) the assets and liabilities of the Club.Proper books shall give a true and fair view of the state of the affairs of the Club and to explain transactions. TOP

12. SUB COMMITTEES
At the first meeting each year, the Committee shall elect out of its own number, sub committees for management of Membership, Competition and Handicaps; Course and Greens; House and Bar and a Social sub committee. TOP

13. FINANCIAL YEAR
The Financial Year of the Club shall commence on the first of October, each year.  The Committee shall present to the Annual General Meetings a proper Income and Expenditure Account and Balance Sheet for the previous financial year.  Copies of these accounts shall be made available to all Full Members and the Auditors a minimum of twenty-one days prior to an Annual General Meeting. 14. AUDIT
The Accounts of the Club shall be examined every year by a qualified Auditor.  The Auditors report will be presented to the Annual General Meeting and the Meeting will appoint the Auditor for the next Financial Year. TOP

15. POWER TO REFUSE ADMITTANCE
The Committee shall have full discretion to refuse admittance to the Club, any person or persons (whether a Guest or Temporary Member or otherwise) and such discretion may be delegated to the Steward or Secretary of the Club by the Committee.
No person refused admittance to the Club shall be entitled to demand any reason for his or her non-admittance. TOP

16. POWER OF EXPULSION
The Committee may suspend or terminate the membership of any member whose conduct, in the opinion of the Committee is or has been contrary to the interests of the Club or its' members or may bring the game of golf into disrepute.
A disciplinary committee formed from the Club's Officers shall follow the procedures recommended by the English Golf Union and shall decide on any appropriate actions.
Any member or members being subject to disciplinary procedures shall have the right to be present or be represented at such a meeting.  A suspension in excess of sixty days or a decision to terminate membership shall require a majority of two thirds of those present at the disciplinary committee meeting. 17. SUGGESTIONS AND COMPLAINTS
Suggestions and complaints mustbe made in writing to the Secretary, who shall submit them to the Committee for its' decision or comment.
No club member shall abuse, admonish or reprimand any Servant or Officer of the Club. TOP

18. LICENSING HOURS
Subject to legislation in force the Committee shall decide on the hours when the bar shall be open for the supply of intoxicating liquor and shall cause a notice of these hours to be posted in the Club. TOP

19. SECTION WITHIN THE CLUB
Subject to the overriding powers of the Club's Rules, Articles of Association and Memorandum of Association and approved by the Club Committee, then the Ladies, Senior, Junior or other section created by the Club shall be governed by the rules of that section as approved by its' members. TOP

20. DRESS CODE
In the Clubhouse
A minimum of smart, casual clothes shall be worn; on course shoes are not permitted beyond the changing rooms and hats may not be worn in the bar or dining areas.
On the Course
Denim jeans, tracksuits, shell suits and gentlemen’s sleeveless shirts are not permitted. Tailored shorts may be worn and adult members must wear golf shoes. TOP

21. MOBILE PHONES
Mobile phones must be switched off on the course; they may be carried and used in the event of an emergency.  Mobile phones must be turned off and may not be used in the bar or the dining room. TOP

22. EXCLUSION OF LIABILITY
Neither the Club or any Officer shall be liable to any Member or Guest for any loss or damage to any property, from whatever cause, in or about the Club premises or on the course; nor for any injury sustained on the premises or the course. TOP

23. PRIORITY ON THE COURSE
Green staff must be given priority on the course. They will not hold up play unduly but they must be allowed to perform their tasks without being put at risk. They will move back at the earliest practical opportunity and signal you when it is safe for you to play. TOP
